Welcome to CTRL STUDIOS (“Company”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our services.
By engaging our services, you agree to be bound by these Terms.
1. Scope of Services
CTRL STUDIOS provides marketing and related services, including but not limited to:
- Key Opinion Leader (KOL) / influencer management
- Growth marketing and digital campaign execution
- Strategy, advisory, and analytics services
Services may involve third-party platforms, creators, and tools.
2. No Guarantee of Results
All services are provided on a best-effort basis.
CTRL STUDIOS makes no guarantees regarding:
- Sales, revenue, or return on investment (ROI)
- Follower growth or engagement metrics
- Campaign performance or outcomes
Any projections, estimates, or past performance are for informational purposes only and are not guarantees.
3. Third-Party Platforms
Our services may involve third-party platforms, including but not limited to:
- TikTok
- X (Twitter)
You acknowledge that CTRL STUDIOS has no control over these platforms.
CTRL STUDIOS is not responsible for:
- Algorithm changes
- Account suspensions, bans, or restrictions
- Platform outages or technical failures
- Changes in reach, impressions, or engagement
4. KOL / Influencer Engagement
KOLs and influencers engaged through CTRL STUDIOS are independent third parties.
CTRL STUDIOS does not guarantee:
- Performance outcomes
- Authenticity of followers or engagement
- Timeliness or completeness of deliverables
CTRL STUDIOS is not liable for:
- KOL misconduct
- Non-performance or delays
- Reputational damage arising from KOL actions
5. Client Responsibilities
You agree to:
- Provide accurate and complete information
- Ensure all marketing claims are truthful and compliant with applicable laws
- Approve campaign materials in a timely manner
You are solely responsible for:
- Your product or service
- Regulatory compliance (including advertising disclosures)
- Content accuracy
6. Fees and Payment
- All fees are non-refundable, unless otherwise agreed in writing
- Payment terms will be stated in your invoice or agreement
- Late payments may result in suspension or termination of services
CTRL STUDIOS reserves the right to withhold deliverables until full payment is received.
7. Intellectual Property
All materials created by CTRL STUDIOS remain the property of CTRL STUDIOS until full payment is received.
Upon full payment, you are granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose, unless otherwise agreed in writing.
8. Limitation of Liability
To the maximum extent permitted by law:
CTRL STUDIOS shall not be liable for:
- Loss of profits
- Loss of revenue
- Loss of business opportunities
- Loss of data
- Indirect, incidental, or consequential damages
In all cases, the total liability of CTRL STUDIOS shall not exceed the total fees paid by you for the specific service giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless CTRL STUDIOS from any claims, damages, liabilities, or expenses arising from:
- Your products or services
- Misleading or unlawful advertising
- Regulatory violations
- Breach of these Terms
- Third-party disputes related to your campaigns
10. Termination
CTRL STUDIOS may suspend or terminate services at any time if:
- You breach these Terms
- Payment is not made
- The engagement presents legal, regulatory, or reputational risk
No refunds will be issued upon termination.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore.
12. Amendments
CTRL STUDIOS reserves the right to update these Terms at any time.
Continued use of our services constitutes acceptance of the updated Terms.
